by and between Evolution Sports Expo LLC or EVO, a company, having its principal place of business at 2790 El Camino Real Santa Clara CA 95051 and (Special Guest Sign Below), both of agree to the following terms: *

ENGAGEMENT AND SCHEDULE: EVO hereby engages the Special Guest, and the Special Guest hereby accepts the engagement to appear at Evo Sports Expo: Santa Clara, on 4/20/2024, Starting at 12:00pm until 3:00pm at the payment agreed upon by both parties. This appearance will include 2 one hour meet and greets sessions and 1 Superstar Seminar Q&A onsite at the event. *

I agree to the terms of this agreement.

USE OF NAME AND IMAGE: Upon execution of this agreement EVO Shall be entitled to use the name, likeness, and image of the Special Guest in connection with the appearance. Evo may not use the name, likeness or image of the Special Guest associated directly with any product or service without prior execution of this agreement. RECORDING & PHOTOGRAPHY: Audio recording, video recording, broadcasts, reproduction, or distribution of any part of the Special Guest appearance at the event is granted by the Special Guest for use during the event or post event use in marketing, branding, or other platforms usage. *

PROMOTIONS: Both EVO and the Special Guest shall be responsible for promotion of the appearance and shall cooperate with each other in promoting the appearance on all social media platforms, print marketing, email blasts, audio recording, video recording or other forms of marketing. *

CANCELLATION OF APPEARANCE: EVO is responsible to provide the agreed upon terms of this agreement, if they are not provided, the Special Guest may cancel or abridge the appearance; however, the full agreed upon fee shall be paid in full. The Special Guests are responsible to uphold the terms of this agreement if they are in breach of the agreement all payments will be forfeited and any fees paid for travel or accommodations will be reimbursed to EVO in full within 10 days of the cancellation. FORCE MAJEURE: EVO and The Special Guest obligations are subject to postponement or cancelLation by sickness, accident, failure, or delay of means of transportation, acts of God, riots, strikes, labor difficulties, epidemics, plagues, pandemics, outbreak of infectious disease or any other public health crisis, including quarantine or other employee restrictions, any act of public authority or other cause, similar or dissimilar, beyond the Special Guests control. *

PAYMENT: EVO shall pay to the Special Guest a TOTAL FEE of $500 for the appearance. This fee shall be due in full, unless the event is canceled a minimum of 30 days prior to its scheduled start. *

TRAVEL, MEALS & TRANSPORTATION:Travel expenses including airfare, car rental and fuel must be approved and secured by EVO a minimum of 2 weeks before the event. Travel or hotel accommodations purchased by the Special Guest must be pre-approved by EVO and receipts must be submitted prior to reimbursement. Food and beverage shall be provided to the Special Guest during the event for appearances lasting more than 5 hours. Water and other beverages will be provided for the Special guests during the event without a minimum amount of time. Upon request and with approval EVO will provide transportation at no cost to the Special guest. This includes pickup from the airport to the hotel, to and from the venue and back to the airport. *

GOVERNING LAW: This agreement will be governed by the laws of the State of California without giving effect to any conflicts of law’s provisions. ATTORNEYS’ FEES: If any action at law or in equity is brought to enforce or interpret the provisions of this Agreement, the prevailing party will be entitled to reasonable attorneys’ fees in addition to any other relief to which that party may be entitled. The parties undersigned acknowledge that they have read the above terms and conditions and agree that they will be adhered to in detail. *
